These Terms of Use (“Terms”) govern access to and use of UnitedKoreans.com and its pages, accounts, comments, community areas, classifieds, listings, newsletters, and related online features (collectively, the “Site”). The Site is operated by PAUL AND KATE, LLC, a Washington limited liability company, doing business as United Koreans. In these Terms, “United Koreans,” the “Company,” “we,” “us,” and “our” refer to PAUL AND KATE, LLC d/b/a United Koreans.

General browsing provides notice that these Terms govern use of the Site. When you create an account, submit a comment, post content or a listing, purchase a feature, or encounter an acceptance screen, you must affirmatively accept these Terms and any linked supplemental terms. If you do not agree, do not use that feature. A footer link alone is not our intended method of proving contractual assent by an account holder, contributor, or advertiser.

IMPORTANT: These Terms contain disclaimers of warranties, limitations of liability, a Washington governing-law and forum provision, and an indemnification obligation.

1. Nature of United Koreans

United Koreans is an independent, privately operated information and media platform that explains U.S. education, personal finance, credit, taxes, retirement, employment, business, immigration, public policy, real estate, health, insurance, and public systems for a Korean-speaking audience.

United Koreans is not an official website of the United States or Republic of Korea; any embassy, consulate, agency, political party, school, financial institution, law firm, medical provider, real estate brokerage, or other public or private institution; and, unless expressly stated, is not sponsored, endorsed, approved, or guaranteed by any such entity.

2. Eligibility

General informational content may be viewed by anyone. Account, comment, community, listing, advertising, and paid features are intended only for persons who are at least 18 years old and legally capable of entering a binding agreement where they live.

The Site is not directed to children under 13. A child under 13 may not create an account or submit personal information. If we learn that such information was submitted, we may delete or restrict it consistent with applicable law.

3. Information Only; No Professional Relationship

Site content is provided for general educational and informational purposes. It is not individualized legal, immigration, tax, accounting, investment, securities, credit, lending, mortgage, insurance, real estate, medical, mental-health, admissions, or other professional advice.

Use of the Site does not create an attorney-client, accountant-client, adviser-client, clinician-patient, broker-client, agency, fiduciary, or other professional relationship. Before acting on information that may affect your money, legal status, health, education, housing, or business, verify current primary sources and consult a properly licensed professional in the relevant jurisdiction. 4. Accounts and Security

You must provide accurate and current account information. You are responsible for safeguarding your credentials, activity through your account, promptly updating information, and notifying us of suspected unauthorized access. You may not impersonate another person, misrepresent credentials, affiliations, licensure, or authority, or use another person’s account without authorization.

We may require a password reset, additional verification, posting restriction, suspension, or other reasonable measure to protect the Site and its users.

5. Prohibited Conduct

You may not use the Site to:

  • violate law or solicit, facilitate, or conceal unlawful conduct;
  • commit fraud, impersonation, deception, or material misrepresentation;
  • defame, threaten, harass, stalk, exploit, or incite hatred or violence;
  • disclose Social Security numbers, identity documents, financial credentials, health records, precise home addresses, or other private information without lawful authority;
  • infringe copyright, trademark, publicity, privacy, contract, or other rights;
  • publish discriminatory housing, lending, or employment advertisements or unlawful preferences;
  • offer unlicensed regulated services, unlawful investment solicitations, pyramid schemes, fraudulent business opportunities, or unlawful loan or immigration services;
  • upload malicious code, phish, probe, attack, bypass security, or disrupt the Site;
  • spam, manipulate engagement or reviews, scrape personal data, or collect information without authorization;
  • impose an unreasonable load or interfere with normal operation;
  • systematically scrape, reproduce, index, or use Site content or databases for commercial datasets or machine-learning training without our prior written permission;
  • manipulate rankings, traffic, reviews, or user reactions; or
  • evade these Terms, a suspension, or a protective measure.

6. User Content

“User Content” includes comments, posts, questions, answers, photographs, documents, links, profiles, advertisements, job posts, and listings submitted by users.

You retain ownership of your User Content. By submitting it, you grant United Koreans a worldwide, nonexclusive, royalty-free, sublicensable license to host, store, reproduce, technically modify, display, distribute, review, moderate, and use it to operate and promote the Site. This license continues while the content is available and may survive deletion only as reasonably necessary for backups, legal records, security, disputes, and previously distributed Site promotions.

You represent and warrant that:

  • you have all rights needed to submit the content and grant this license;
  • the content and its publication violate no law or third-party right;
  • claims about identity, credentials, pricing, income, employment, real estate, sponsorship, and regulated services are accurate and not misleading;
  • you have obtained all necessary consents, permissions, licenses, and disclosures; and
  • you clearly disclose compensation or another material connection where required.

Do not submit confidential information that you do not want publicly disclosed. Public content may be copied, indexed, archived, or redistributed by others beyond our control.

7. Moderation and Enforcement

We have no obligation to pre-screen all User Content and do not guarantee its accuracy or legality. We may, with or without notice, review, hold, request changes to, reclassify, restrict, remove, preserve, or disclose content, and may suspend or terminate accounts, when we reasonably believe action is appropriate for safety, compliance, Site integrity, or enforcement.

Allowing, formatting, labeling, moderating, or removing User Content does not make United Koreans its author, sponsor, or guarantor. Our good-faith moderation and ordinary editorial functions do not waive protections available to online service providers under applicable law, including 47 U.S.C. § 230 where applicable. Those protections do not excuse content or conduct that United Koreans itself creates or develops, our own advertising or representations, or conduct for which the law does not provide platform immunity.

We may preserve and disclose information when reasonably necessary to comply with lawful process, enforce policies, investigate fraud or security incidents, or protect rights and safety. Reports and appeals are handled under the Community Guidelines.

8. Classifieds, Advertising, and Transactions

The Classifieds and Listings Terms additionally govern real estate, business-sale, employment, professional-service, event, and other listings.

Unless we enter a separate written agreement saying otherwise, United Koreans is not a seller, buyer, landlord, tenant, employer, applicant, real estate broker, mortgage broker, investment adviser, immigration representative, escrow holder, or party to a user transaction. We do not guarantee identity, licensure, ownership, solvency, property condition, job terms, or transaction performance.

9. United Koreans Content and Intellectual Property

The Site’s original editorial content, selection and arrangement, logos, graphics, databases, design, and software are owned by United Koreans or their respective licensors and may be protected by U.S. and other intellectual-property laws.

You may link to Site pages and make limited quotations for lawful personal, noncommercial informational use, with appropriate attribution. Prior written permission is required to reproduce or republish an article or a substantial part of one; systematically collect multiple posts or a database; use Site material in a paid product, newsletter, training dataset, competing site, or commercial service; use our marks to imply endorsement; or present our work as another person’s work.

No right is granted by implication. Requests may be sent to legal@unitedkoreans.com.

10. Copyright Complaints

Submit copyright complaints to our designated agent under the DMCA Copyright Policy. Do not use the DMCA process for trademark, privacy, defamation, or ordinary customer-service disputes.

11. Advertising, Affiliates, and Sponsorships

The Site may contain display advertising, affiliate links, sponsored content, paid listings, or other commercial relationships. We disclose material relationships in or near the relevant content as required. See the Advertising and Affiliate Disclosure.

An advertisement or affiliate relationship is not a United Koreans warranty. Transactions with an advertiser, merchant, or affiliate are between you and that party.

12. Third-Party Sites and Services

The Site may link to or embed government sites, schools, media, social platforms, advertisers, merchants, and other third parties. We do not control them, and their own terms and privacy practices apply. A link does not constitute an endorsement of a site, product, claim, security practice, or transaction.

13. Changes, Availability, and Termination

We may modify, suspend, restrict, or discontinue content, accounts, categories, fees, or features. Except where law or an express written commitment requires otherwise, we do not promise that any content or feature will remain available.

We may suspend or terminate access for violations, risk to users or systems, fraud, legal exposure, prolonged inactivity, or discontinuation. Provisions that by their nature should survive—including intellectual-property, disclaimer, liability, indemnity, dispute, and record-preservation provisions—survive termination.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” UNITED KOREANS DISCLAIMS EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AND QUIET ENJOYMENT.

We do not warrant that content will always be current or suitable for your circumstances; the Site will operate without interruption, error, harmful code, or security incident; users, advertisers, listings, or external links are reliable; or use of the Site will produce a particular financial, educational, immigration, legal, health, employment, housing, or business result.

Rights and warranties that cannot lawfully be excluded remain unaffected.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITED KOREANS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, CONTRIBUTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, BUSINESS, DATA, GOODWILL, OR OPPORTUNITY; OR LOSSES ARISING FROM SITE USE OR INABILITY TO USE THE SITE, RELIANCE ON CONTENT, USER CONTENT, LISTINGS, ADVERTISEMENTS, EXTERNAL LINKS, OR THIRD-PARTY TRANSACTIONS.

EXCEPT FOR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, THE AGGREGATE LIABILITY OF UNITED KOREANS FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID UNITED KOREANS DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

These limitations do not apply to intentional unlawful conduct, liability that applicable law treats as nonwaivable, or another category that applicable law prohibits us from limiting. Some jurisdictions do not permit certain exclusions, so a limitation may not apply to you.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless United Koreans and its owners, officers, employees, contractors, contributors, and agents from third-party claims, losses, liabilities, judgments, settlements, and reasonable attorneys’ fees arising from your User Content or listing; your violation of these Terms or a linked policy; your violation of law or another person’s rights; a transaction you enter or attempt through the Site; or your false, deceptive, discriminatory, or unlawful statement or conduct.

We may control the defense of an indemnified matter, and you must reasonably cooperate. You may not settle a matter in a way that admits wrongdoing by or imposes an obligation on United Koreans without our prior written consent.

17. Privacy

Our Privacy Policy and Cookie Notice explain our data practices. Never post Social Security numbers, passport or immigration documents, financial credentials, tax returns, medical records, precise home addresses, or another person’s sensitive information in a public area.

18. Governing Law; Venue; Informal Resolution

Unless nonwaivable law requires otherwise, these Terms and Site-related disputes are governed by Washington law, without regard to conflict-of-laws principles. A lawsuit must be brought in a state or federal court located in Washington that has proper subject-matter jurisdiction and venue, and the parties consent to that court’s lawful exercise of personal jurisdiction and venue.

Before filing a claim, a party must send a written notice describing the facts, legal basis, and requested relief to legal@unitedkoreans.com and allow at least 30 days for a good-faith effort at informal resolution. This requirement does not prevent emergency injunctive relief, protection of intellectual-property rights, small-claims proceedings, or a filing needed to preserve a legal deadline.

19. Changes to These Terms

We may update these Terms to reflect legal, operational, or service changes. We will update the date and version above. We may provide additional notice of a material change through the Site, an account, email, or another reasonable method. When law or the nature of the change requires fresh assent, we will request it; continued use alone will not substitute for assent where it is legally insufficient.

20. General Terms

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, reorganization, financing, asset transfer, or business succession.

These Terms and expressly incorporated policies form the entire agreement concerning use of the Site, except for a separately signed agreement governing a specific service. Headings are for convenience. “Including” means “including without limitation.”

21. Language

This English version is the controlling version for contractual interpretation to the extent permitted by applicable law. The Korean version is provided as a complete notice for Korean-speaking users. This clause does not excuse an unclear or misleading Korean disclosure and does not waive any nonwaivable right.
